The Cultured Classroom™ Centre Membership & Licence Agreement

Effective Date: 1 June 2026

Welcome to The Cultured Classroom™. This Centre Membership & Licence Agreement ("Agreement") governs your access to and use of The Cultured Classroom™ program, materials, resources, website, and member portal.

By purchasing a Centre Membership, you agree to be bound by this Agreement.

1. Definitions

The Cultured Classroom™ means the language learning program, including all videos, lesson plans, flashcards, songs, games, assessments, activities, printables, educator training materials, bonus resources, and associated content provided by The Cultured Kid.

The Cultured Kid means The Cultured Kid Pty Ltd and its owners, employees, contractors, affiliates, and representatives.

Purchasing Entity means the individual, business, organisation, childcare provider, preschool, kindergarten, or early learning provider that purchases the membership.

Licensed Centre means the single physical childcare, preschool, kindergarten, or early learning location identified at the time of purchase.

Educators means employees, contractors, relief staff, assistants, and teaching personnel engaged by the Licensed Centre.

Materials means all content provided through The Cultured Classroom™, including digital, downloadable, printed, audio, video, and online resources.

Membership Term means the active annual membership period purchased by the Purchasing Entity.

2. Licence Grant

Subject to compliance with this Agreement, The Cultured Kid grants the Purchasing Entity a limited, non-exclusive, non-transferable, revocable licence to access and use The Cultured Classroom™ within the Licensed Centre during the active Membership Term.

This licence does not transfer ownership of any intellectual property and may be revoked if the terms of this Agreement are breached.

3. Permitted Use

During an active Membership Term, the Licensed Centre may:

Use The Cultured Classroom™ with children enrolled at the Licensed Centre.
Allow Educators employed or engaged by the Licensed Centre to access and use the program solely for the benefit of children enrolled at the Licensed Centre.
Print unlimited copies of worksheets, flashcards, activities, and supporting materials for use within the Licensed Centre.
Use the program across multiple classrooms and age groups within the Licensed Centre.
Download resources for use during the active Membership Term.
Share approved parent-facing resources included within designated family engagement materials.
State that the centre uses The Cultured Classroom™ as part of its educational offering.

4. Prohibited Use

The Purchasing Entity, Licensed Centre, Educators, and any associated parties may not:

Share login credentials with any person or organisation outside the Licensed Centre.
Provide parents, guardians, or third parties with access to the membership portal.
Distribute, share, sublicense, sell, rent, transfer, or assign any Materials to another centre, organisation, or individual.
Use the licence across multiple centre locations.
Allow franchisees, affiliated centres, or related entities to use the Materials under a single licence.
Upload Materials to public websites, social media platforms, file-sharing services, learning management systems, or online repositories accessible outside the Licensed Centre.
Reproduce substantial portions of the Materials for marketing, promotional, commercial, or training purposes.
Modify, repackage, or create derivative commercial products using The Cultured Classroom™ Materials.
Remove copyright notices, trademarks, or proprietary markings.
Continue using any Materials after membership expiry, cancellation, or termination.

Any unauthorised use constitutes a breach of this Agreement.

5. Single Centre Licence

Each membership is valid for one Licensed Centre only.

Additional locations require separate memberships unless otherwise agreed in writing by The Cultured Kid.

A membership purchased for one location may not be shared with, transferred to, or used by another location.

A separate membership must be purchased for each physical centre location.

6. Intellectual Property

All Materials remain the exclusive property of The Cultured Kid.

Nothing in this Agreement transfers ownership of any copyright, trademark, intellectual property, or proprietary rights to the Purchasing Entity, Licensed Centre, Educators, or any third party.

The Cultured Classroom™, The Cultured Kid™, Fast Track to Fluency™, and all associated branding remain the intellectual property of The Cultured Kid.

The intellectual property obligations contained in this Agreement survive expiry or termination of the Membership.

7. Membership Term & Automatic Renewal

Centre Memberships are billed annually.

Unless cancelled before the renewal date, memberships will automatically renew for successive annual terms using the payment method on file.

By purchasing a membership, you authorise The Cultured Kid to process renewal payments when due.

Membership fees are non-refundable except as expressly stated in Section 10.

The Cultured Kid reserves the right to modify membership pricing upon renewal by providing reasonable notice.

The Cultured Kid will provide reasonable notice before processing an automatic renewal payment.

8. Transfer of Ownership

This licence is granted solely to the Purchasing Entity.

The licence may not be sold, assigned, transferred, sublicensed, or otherwise conveyed to another owner, organisation, or entity without prior written approval from The Cultured Kid.

In the event of a sale, merger, acquisition, or transfer of ownership of the Licensed Centre, continued use of the licence is subject to approval by The Cultured Kid.

9. Membership Expiry & Termination

The licence automatically expires if membership is not renewed.

The Cultured Kid reserves the right to suspend or terminate access immediately if:

This Agreement is breached;
Unauthorised sharing is detected;
Membership fees remain unpaid;
Fraudulent or unlawful activity is identified.

Upon expiry or termination of the licence, the Centre must:

Immediately cease using all Materials;
Stop delivering lessons using The Cultured Classroom™ content;
Remove access to all digital resources;
Make reasonable efforts to delete, destroy, or remove all downloaded, printed, stored, copied, or reproduced Materials.

No further use of the Materials is permitted after expiry or termination.

Expiry or termination of a Membership does not transfer ownership of any downloaded, printed, stored, or reproduced Materials to the Centre.

10. The Families Will Notice Guarantee

New Centre Memberships are protected by The Families Will Notice Guarantee.

If, within sixty (60) days of purchase, you do not believe The Cultured Classroom™ provides your centre with a stronger educational point of difference that families can see, value, and talk about, you may request a full refund by contacting The Cultured Kid in writing..

Refund requests must be submitted in writing within sixty (60) days of the original purchase date.

After sixty (60) days, all membership fees are non-refundable.

11. Compliance Verification

The Cultured Kid reserves the right to request reasonable information to verify compliance with this Agreement, including:

Confirmation of the Licensed Centre location;
Number of locations using the program;
Confirmation that use is restricted to the Licensed Centre.

Failure to provide reasonable verification information may result in suspension or termination of access.

12. Disclaimer

The Cultured Classroom™ is provided for educational purposes only.

The Cultured Kid makes no guarantee regarding specific educational outcomes, language proficiency, enrolment growth, business performance, parent retention, or financial results arising from use of the program.

All Materials are provided "as is" and "as available."

13. Third-Party Content

Certain Materials may include links to or references to third-party platforms, services, websites, applications, or content providers, including but not limited to Spotify.

Any third-party content remains the property of its respective owners and is subject to the terms, conditions, licences, and copyright policies of those providers.

The Cultured Kid does not claim ownership of any third-party content and is not responsible for the availability, accuracy, modification, removal, interruption, or discontinuation of any third-party content, services, or platforms.

Access to third-party content may require separate accounts, subscriptions, or permissions and may vary by country or region.

14. Limitation of Liability

To the fullest extent permitted by law, The Cultured Kid shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use or inability to use The Cultured Classroom™.

The total liability of The Cultured Kid under this Agreement shall not exceed the amount paid by the Purchasing Entity during the twelve (12) months preceding the claim.

15. Changes to this Agreement

The Cultured Kid may update or revise this Agreement from time to time.

The most current version will always be available on our website.

Continued use of The Cultured Classroom™ following any update constitutes acceptance of the revised Agreement.

16. Governing Law

This Agreement is governed by and construed in accordance with the laws of Queensland, Australia. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.
